Terms of Service

The agreement between you and xNord when you use our service.

1. Agreement to terms

By accessing or using xNord (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you must not use the Service. These Terms apply to all visitors, users, and others who access or use the Service, including any trial or free access we may offer.

These Terms constitute a legally binding agreement between you and xNord Ltd, a company registered in England and Wales ("xNord", "we", "us", "our").

Our Privacy Policy and Cookie Policy describe how we process personal data and cookies. They are incorporated into these Terms by reference. Where this document and the Privacy Policy overlap, both apply to the extent consistent.

If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.

2. Definitions

  • Content: information made available through the Service, including our software, UI, documentation, and (where applicable) AI-generated suggestions shown to you.
  • User Content: emails, attachments, labels, and other material originating from your mailbox or that you upload or submit through the Service.
  • Subscription: a paid recurring plan (Solo, Founder, or Team) or a trial that we grant you under these Terms.

3. Description of service

xNord is an AI-assisted email operations product that connects to your mailbox when you choose to integrate a supported provider. It is designed to help you triage incoming mail, surface priorities, generate draft replies for your review, apply archiving and labelling according to product rules and settings, and provide a transparent log of automated actions where the product offers that feature.

Depending on your plan and settings, the Service may include scheduled or on-demand "agent" runs against connected mailboxes, optional custom rules, inbox chat or similar features, and multi-account support on higher tiers. Exact limits and features are described on our Pricing and Features pages and may change from time to time as we improve the product.

The Service operates substantially by:

  • Connecting to supported email providers via OAuth (for example Microsoft account / Outlook when available in product, or Gmail when enabled)
  • Reading and processing mailbox data in line with your permissions
  • Running AI inference (on infrastructure we operate or through subprocessors we describe in our Privacy Policy) to classify, summarise, draft, or otherwise assist with email workflows
  • Storing product outputs such as summaries, draft text, urgency signals, and run logs as explained in our Privacy Policy
  • Providing a web application at xnord.co.uk (including signed-in areas under paths such as /app) for you to review and act on results

Unless a feature explicitly states otherwise, you remain responsible for sending messages from your mailbox. The Service is not a generic email API for bulk outbound marketing unless and until we offer that as an expressly documented product.

4. Eligibility

You must be at least 18 years old to use the Service. By creating an account, you confirm that you are 18 or older and have the legal capacity to enter into a binding contract.

You may not use the Service if you are located in, ordinarily resident in, or organised in a jurisdiction where use of the Service would be illegal, or if you are subject to sanctions or export restrictions that prohibit your use. You are responsible for compliance with local laws.

5. Account registration

Account creation and sign-in may be offered through identity providers we enable from time to time (for example Microsoft sign-in and, when available, Google sign-in). You must provide accurate information and keep your account credentials secure. You are responsible for all activity under your account except where caused by our gross negligence or wilful misconduct.

One person or entity should not maintain multiple accounts to evade limits, trials, or enforcement. You may not register accounts for others without their permission or impersonate another person or organisation.

Notify us promptly at support@xnord.co.uk if you suspect unauthorised access. We are not liable for losses resulting from your failure to secure your identity provider account or xNord session.

6. Acceptable use

You may use the Service only for lawful business or personal email management in line with these Terms. Without limiting the foregoing, you agree not to:

  • Violate applicable law or regulation, or infringe third-party rights
  • Use the Service to send spam, phishing, malware, deceptive messages, or unsolicited bulk commercial email
  • Use drafts or automation to harass, threaten, defraud, or impersonate others
  • Probe, scan, or test the vulnerability of the Service, breach authentication measures, or access non-public areas without authorisation
  • Interfere with or disrupt the Service, servers, networks, or other users' use (including excessive automated requests outside documented APIs we provide)
  • Reverse engineer, decompile, or attempt to extract source code or models from the Service except where mandatory law allows
  • Resell, white-label, sublicense, or commercially redistribute access to the Service without our written agreement
  • Use the Service to build or train a competing product using systematic extraction of our UI, outputs, or behaviour in violation of these Terms
  • Process or store data through the Service where doing so would require compliance regimes we do not support (for example, certain classified or special-category handling) without our prior written agreement

We may investigate suspected abuse, suspend or terminate access, remove content, or cooperate with law enforcement where required. We are not obliged to monitor all User Content but may do so to operate and protect the Service.

7. Third-party services

The Service relies on third parties including Microsoft (for Microsoft account, Microsoft Graph, and related APIs when offered), Google (when Gmail or Google Sign-In are available), and Stripe (payment processing). Your use of those services is also subject to their respective terms and policies. We do not control third-party services and are not responsible for their availability, security, or acts or omissions.

If you enable optional integrations we may offer from time to time, those integrations are provided for convenience; their providers' terms apply to your use of them.

8. Email provider integrations and permissions

Provider integrations, supported clients, and connection flows may change over time — for example while an OAuth app is under verification, when a provider deprecates APIs, or when we add or retire features. We ship the product as described on our website at the time; nothing in these Terms guarantees uninterrupted access to any specific third-party inbox.

Microsoft Outlook / Microsoft 365. When you connect a Microsoft mailbox, you authorise xNord only to the extent of the Microsoft identity and Microsoft Graph permissions you approve at sign-in and connect time. We use that access to list, read, modify, and send mail only as needed to provide the features you use (subject to your review for outbound messages where the product requires it). You can disconnect from xNord in Settings and revoke application consent in your Microsoft account security pages; revocation may limit or stop processing and does not cancel outstanding payment obligations.

Gmail / Google Workspace (when enabled). When Google connection is available in product, you authorise xNord to access your Google account only to the extent of the OAuth scopes you approve. These commonly include reading mail, sending mail where the product supports it (subject to your controls), and modifying labels or mailbox state where used. Exact scopes shown at connect time prevail. You can revoke access via xNord Settings or Google Account permissions (for example myaccount.google.com/permissions).

You warrant that connecting a mailbox complies with your employment contract, your organisation's IT and data policies, and any confidentiality obligations that apply to you. Use of Google user data (when applicable) is described in our Privacy Policy, including our commitment to the Google API Services User Data Policy where applicable. Google is a third-party beneficiary of Google API terms only to the extent Google requires; nothing in these Terms implies Google or Microsoft endorses xNord.

9. AI, automation, and no professional advice

The Service uses machine learning and automation. Outputs (including drafts, summaries, classifications, and suggested actions) may be incorrect, incomplete, outdated, biased, or unsuitable for your situation. They are aids for your judgment, not a substitute for human review where stakes are high.

  • You are solely responsible for the content of messages sent from your account and for decisions you take after reviewing drafts or suggestions.
  • Unless a feature clearly and lawfully states otherwise, you should assume human approval is expected before outbound send.
  • The Service does not provide legal, medical, tax, investment, or other professional advice. Do not rely on it for regulated or high-risk decisions without qualified professionals.
  • We do not guarantee accuracy, completeness, fitness for a particular purpose, or that the Service will meet your regulatory obligations in your industry or jurisdiction.

10. Plans, trials, billing, and payment

Paid access is offered on subscription plans. Current list prices for Solo, Founder, and Team are £9, £29, and £59 per month respectively (GBP), subject to change as described below. Features, usage caps (such as email volume on Solo), and account limits are set out on xnord.co.uk/pricing.

We may offer a 7-day free trial on paid plans as described at checkout or in-product. Trials may require a valid payment method for paid checkout flows; trial terms shown at signup apply. If you cancel before charge according to those terms, you will not be billed for that trial conversion.

Subscriptions bill monthly in advance unless we offer and you select annual billing (where advertised, for example with a discount). Renewal is automatic until cancelled. You authorise us and our payment processor (Stripe) to charge your payment method on file for fees, taxes, and agreed add-ons.

Prices are shown in GBP. If UK VAT or other taxes apply to your purchase, they will be collected as required by law. We may change standard list prices or introduce new fees with reasonable advance notice (typically at least 30 days) communicated by email or in-product notice; changes apply from your next renewal after the notice period unless a mandatory law requires otherwise.

Upgrades may take effect immediately with proration or adjusted invoicing as Stripe calculates. Downgrades typically take effect at the end of the current billing period. Exact behaviour is shown in billing settings or the Stripe Customer Portal where available.

If payment fails, we may retry collection, mark your subscription past_due, and suspend or limit access until payment succeeds, in line with our operational policies and Stripe events. You remain responsible for all amounts due for the period in which you had access.

11. Cancellation, refunds, and consumer rights

You may cancel your subscription at any time from Settings → Billing (or equivalent) or through the Stripe Customer Portal where we enable it. Cancellation generally takes effect at the end of the paid period you have already started, unless we specify otherwise. You retain access until that period ends.

Except where mandatory law requires otherwise, we do not refund partial billing periods or unused time. In exceptional cases (for example, extended outages attributable to us or clear billing errors), we may issue credits or refunds at our discretion. Contact support@xnord.co.uk within 30 days of the charge to request a review.

Statutory rights (UK consumers). If you are a consumer in the UK, you may have rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and other legislation. For digital content supplied on a one-off or subscription basis, statutory cancellation rights can be affected once supply has begun with your express consent and acknowledgement that you may lose the right to cancel. We will present any required consents clearly at purchase where applicable. Nothing in these Terms limits rights that cannot lawfully be excluded.

Free trial. If you cancel during a free trial before any charge is taken in line with the trial terms presented to you, you will not be billed for that subscription period.

Money-back marketing. If we advertise a money-back or satisfaction period, the specific terms shown in that offer apply and prevail over this section to the extent of any conflict.

12. Intellectual property

The Service, including software, branding, documentation, and our proprietary models and prompts (excluding your User Content), is owned by xNord Ltd or our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal purposes during your subscription or trial.

You retain rights in your User Content. To operate the Service, you grant xNord a worldwide, royalty-free licence to host, process, transmit, display, and create derivative works (such as summaries and drafts) solely to provide and improve the Service as described in our Privacy Policy. This licence ends when you delete relevant data or close your account, subject to backup and legal retention periods.

If you provide feedback or suggestions, you grant us a perpetual, irrevocable licence to use them without obligation to you.

13. Data and privacy

Processing of personal data is governed by our Privacy Policy. Security measures are summarised on our Security page. By using the Service, you acknowledge that email data may be processed by us and subprocessors (including AI inference providers) as disclosed there.

14. Availability and changes to the Service

We aim to run the Service reliably but do not guarantee uninterrupted or error-free operation. Maintenance, upgrades, third-party outages (for example mailbox APIs or cloud providers), or security incidents may cause downtime or degraded performance.

We may modify, suspend, or discontinue features or plans (including retiring legacy behaviour) where we have legitimate reasons, such as security, compliance, cost, or product focus. Where a change materially reduces paid functionality you already rely on, we will use reasonable efforts to give advance notice and, where appropriate, proportionate remedies (such as continuing a feature until the end of a prepaid period). This does not restrict us from making urgent changes required for legal or security reasons.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, ALL TO THE FULLEST EXTENT PERMITTED BY LAW.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE COMPATIBLE WITH ALL MAILBOX CONFIGURATIONS, OR BE FREE OF DEFECTS, VIRUSES, OR HARMFUL COMPONENTS.

AI-GENERATED OUTPUT IS PROVIDED WITHOUT WARRANTY OF ACCURACY OR SUITABILITY. YOU ASSUME ALL RISK FROM USE OF OUTPUTS.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XNORD LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO XNORD FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED BRITISH POUNDS (£100), IF YOU HAD NOT PAID FEES IN THAT PERIOD.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED UNDER ENGLISH LAW.

17. Indemnification

You will defend, indemnify, and hold harmless xNord Ltd and its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content or messages sent using the Service; (b) your breach of these Terms or applicable law; (c) your violation of third-party rights including privacy and intellectual property; or (d) a dispute between you and your employer or mailbox provider regarding use of the Service.

18. Termination

We may suspend or terminate your access immediately if you materially breach these Terms, if we are required to do so by law or competent authority, or if we reasonably believe continued use would harm the Service, other users, or third parties. We may also terminate for extended non-payment after reasonable collection efforts.

Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including accrued payment obligations, intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute provisions) will survive.

You may close your account by cancelling your subscription and requesting deletion via Settings → Account or by emailing support@xnord.co.uk. Data retention and deletion are described in our Privacy Policy.

19. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. The courts of England and Wales have exclusive jurisdiction subject to mandatory consumer protections described below.

If you are a consumer resident in the UK or EEA, you may benefit from mandatory provisions of the law of your country of residence, including the right to bring proceedings in your local courts where such rights cannot be waived. The European Commission provides an online dispute resolution platform at ec.europa.eu/consumers/odr; we are not obliged to use ADR but will consider good-faith requests.

20. Changes to these Terms

We may update these Terms to reflect legal, regulatory, security, or product changes. When we make material changes, we will provide notice by email to your registered address and/or a prominent in-product notice at least 14 days before the effective date, unless a shorter period is required for legal or security reasons. If you do not agree, you should stop using the Service and cancel your subscription before the effective date. Continued use after the effective date constitutes acceptance.

Non-material changes (such as clarifications or typographical fixes) may take effect immediately when posted with an updated "Last updated" date.

21. General

  • Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy and any order or checkout terms we present, constitute the entire agreement between you and xNord regarding the Service and supersede prior understandings on the same subject.
  • Assignment. You may not assign or transfer these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • No waiver. Failure to enforce a provision is not a waiver of future enforcement.
  • Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
  • Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including acts of government, war, terrorism, riots, fire, flood, epidemic, strike, or major third-party platform outages.
  • Notices. We may send legal or operational notices to the email associated with your account. You may send legal notices to legal@xnord.co.uk.
  • Language. The English language version of these Terms prevails if translated versions conflict.
